America’s Newspapers board of directors amends the bylaws

The board of directors of America’s Newspapers has approved minor changes to the bylaws that will improve the organization’s governance.

These changes:

  • Grant the executive committee the authority to evaluate the performance and adjust the compensation of the CEO.
  • Remove the limitation on the number of participants on the finance and audit committee.
  • Remove the provision to have the treasurer serve as the chair of the audit committee, as best practices dictate that the person overseeing the audit should not be the treasurer.
